For startups and early-stage businesses, our unique Launch / Grow / Protect process of analyzing legal issues affecting businesses provides innovative and cost-effective approaches to tackling legal issues that affect all businesses.

  • We represent and advise businesses on every aspect of the workplace relationship, from regulatory compliance to complex litigation. Our employment team assists in crafting and fine-tuning workplace policies, as well as employee and 1099 agreements, including compensation packages, restrictive covenants, and confidentiality and trade secret protections. We also help employers navigate the complex web of federal and state regulatory schemes governing the workplace, such as employee classification, EEO compliance, and documentation and reporting obligations. Moreover, we advise and assist employees undergoing investigations by federal or state regulatory agencies, and we aggressively defend employers against litigation brought by employees or administrative bodies, including both individual and class litigation.

  • We help companies raise capital for their ventures by regularly advising on the full range of securities issues including registration, compliance, disclosure, and reporting under the Securities Exchange Act of 1934; federal and state regulations (including state securities and “blue-sky” laws); corporate governance and anti-takeover matters; and stock option and other stock-based employee benefit plans. Our transactional team guides clients through U.S. federal and state registration of private securities offerings,  private placements and exempt securities offerings; venture capital financings; institutional debt and equity financings; restricted stock transfers; and mergers, acquisitions, exchange offers, and leveraged buyouts.

  • Our team has extensive experience litigating lease actions and appeals at all levels of Virginia’s court system on behalf of landlords (including several of the nation’s largest commercial property owners) and tenants. In Virginia, leases are enforced via the unique Unlawful Detainer process, and these cases can be complex, fast-paced, and require a nuanced understanding of a variety of different legal and procedural tools. We have the experience to utilize these tools to place you in the best position to reach an efficient and equitable resolution to your commercial lease dispute.

  • We represent and advise executives, partners, directors, physicians, and other professionals in negotiating employment agreements, compensation packages, severance offers, and other contract terms. We offer detailed assessments on both the short and long-term implications of negotiated terms and advise on strategic leverage points to enhance our clients’ negotiating position. As necessary, we also negotiate directly with employers or prospective employers on proposed contract terms and consider and advise clients on any legal concerns that arise during the process.

  • We represent individuals in both the public and private sector in litigation and disputes. We handle trade secret and non-compete cases, partnership fights, and the full gambit of state and federal employment law cases.  We offer detailed and customized advice on potential legal claims and case value, and we build out comprehensive strategies for negotiating and litigating at the administrative, state, and federal level. We have represented clients in virtually every industry and practice, including physicians, business executives, senior management in the defense sector, and many others. We regularly compete in court against some of the largest firms in the country, and we have obtained countless favorable results in clients’ favor.

  • We advise and defend individuals in trade secret and non-compete matters at all stages, whether at contract formation, transition to a new company or venture, or in litigation. We have represented and advised C-level executives, physicians, partners, and other high-level individuals in these matters in virtually every industry. We are also hired by companies to defend employees being sued by their former employer in such matters.

  • We represent medical providers, college professors, and other professionals in pending or potential disciplinary investigations or hearings. We actively conduct our own due diligence investigation and advise on both legal and procedural defenses. We proactively communicate and negotiate with the proper officials and provide clients with strategic advice on the best path forward. If necessary, we represent and defend clients as part of any hearing processes before their employer or other governing body.

  • We represent all types of federal employees, whether part of the General Schedule (GS) scale, the Nonappropriated Fund Instrumentality (NAFI), or otherwise. We assist and advise federal employees as part of internal disciplinary appeals, as well as appeals to the Merit Systems Protection Board (MSPB) or other federal bodies overseeing disciplinary proceedings. We also represent employees in asserting claims to the Office of Special Counsel (OSC), through Inspect General (IG) investigations, and in EEO proceedings, both before and during the EEO hearing process.
